1. Scope

These Terms of Service (hereinafter "Terms") apply to all services provided by Softure UG (haftungsbeschränkt), Forckenbeckstraße 67, 14199 Berlin, Germany (hereinafter "Provider") to their customers (hereinafter "Users").

The subject of these Terms is the provision of the web application "TaxFolio" for local creation of tax reports for stock options (RSU) and employee stock purchase plans (ESPP).

2. Contract Formation

The contract is formed through the use of the TaxFolio web application. By first using the application, the user accepts these Terms.

The Provider reserves the right to change these Terms at any time. Changes will be communicated to users via email or notice on the website. If the user does not object within 14 days of notification, the changes are deemed accepted.

3. Service Description

TaxFolio is a web application that allows users to:

• Capture and manage RSU (Restricted Stock Units) data
• Document ESPP (Employee Stock Purchase Plan) transactions
• Generate tax reports in PDF format (paid service)
• Store all data locally in the browser (no server transmission)

The application is provided "as-is". The Provider makes no warranty for the completeness, accuracy or timeliness of the provided functions.

4. Privacy and Local Storage

The user is responsible for:

• Backing up their locally stored data
• The accuracy of entered data
• Proper use of generated reports

5. Usage Rights and Obligations

Permitted Use:

• Free use of data entry and management features
• Purchase of PDF tax reports for personal use
• Export and use of purchased PDF reports

Prohibited Use:

• Reverse engineering or decompiling the application
• Commercial redistribution of the software
• Use for illegal purposes
• Server overload through automated requests
• Circumventing payment for PDF generation

6. Payment and Billing

PDF report generation is a paid service. Payment is processed securely through Stripe, our payment processor. We verify payment completion through our backend server, which is used exclusively for payment verification purposes.

Payment Terms:

• Payment is required before PDF generation
• All payments are processed in real-time through Stripe
• Payment verification occurs via our secure backend
• Prices are displayed in EUR and include applicable taxes
• No subscription or recurring charges

Refund Policy:

Due to the instant digital nature of PDF reports, refunds are generally not available once a report has been successfully generated and downloaded. In case of technical issues preventing report generation, please contact support.

7. Availability

The Provider strives for high availability of the application but does not guarantee uninterrupted availability. Maintenance work and technical disruptions may lead to temporary outages.

Since all data is stored locally, application outages are not associated with data loss.

8. Disclaimer

Important Notice: TaxFolio is a tool for creating tax reports and does not replace professional tax advice.

The provider's liability is excluded to the extent legally permissible. This applies in particular to:

• Damages from incorrect tax reports
• Data loss due to browser issues
• Consequential damages from using the application
• Damages caused by third parties

Liability for intent and gross negligence as well as for damages from injury to life, body or health remains unaffected.

9. Copyright

The TaxFolio application and all associated content are protected by copyright. The user receives a simple, non-transferable right of use for the intended purpose.

The PDF reports generated by the user can be used freely, as they contain exclusively the data entered by the user.

10. Termination

The user can terminate the use of the application at any time without notice. Since no registration is required, no further obligations arise.

The provider can discontinue the provision of the application with 30 days' notice. Users will be informed via the website or by email (if known).

11. Changes to Terms

The provider reserves the right to change these Terms of Service. Changes will be published on the website and take effect 14 days after publication.

Users who do not agree with the changes can discontinue use of the application.

12. Final Provisions

Applicable Law: German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

Jurisdiction: The exclusive place of jurisdiction for all disputes is Berlin, Germany.

Severability Clause: Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
